Often, both Dr. Seller and Dr. Buyer attend this seminar together. Because they learn what to expect throughout the transition process and how the transaction needs to be structured so it is fair to both parties.

The seminar will cover the pros and cons of the various issues from each side's point of view. This is a no-nonsense, intensive course which will include such topics as:

  • How to recognize the common blunder doctors make of giving away the first half of a practice when they think they are selling it to a new partner.
  • From the junior partner's point of view, how to recognize when you are getting a tremendous bargain. What to look for in a future associate or partner.
  • How to find a practice buyer.
  • How to value a practice.
  • What are the preferred legal and tax structures for various types of transitions.
  • How to save taxes on the sale or purchase of a practice or when taking or becoming a partner.
  • How to avoid major blunders in group practice buy-sell agreements.
  • Fair compensation techniques among partners.
  • Are you ready to retire?
  • Continuing tax-deductible fringe benefits post-retirement.
  • What happens to a corporation at retirement?
  • What happens to a doctor-owned office building at retirement?
  • Taking benefits out of a retirement plan.
  • Avoiding the 10% penalty tax on premature distributions.


Upon completing this course, the attendee will be able to:

  • Take the appropriate steps to prepare to sell or buy their practice.
  • Exercise common practice valuation methods.
  • Know how to apply for financing and have an understanding of financing strategies.
  • Apply basic contract negotiation strategies.
  • Communicate effectively with their consultant or attorney to ascertain their preferred legal and tax structure for their practice transition.
  • Better understand the tax implications and benefits that are associated with buying (into) or selling a practice.
  • Understand what happens to a corporation at retirement.



Brandon is an expert attorney who specializes in representing the dental profession. He has headed the 50-year firm since 2010. Some of the outstanding local museums include the Museum of International Folk Art, the Georgia O'Keefe, Palace of the Governors and the Museum of Indian Arts and Culture to name only a few.

There is a huge abundance of activities for you to enjoy in the Santa Fe area. Only a short, scenic drive away is Los Alamos. We have loved the Bradbury Science Museum in Las Alamos and hiking at Bandelier National Monument, which has more than 32,000 acres of wilderness and 60 miles of trails.  Bandelier is well known for the extensive Anasazi cliff dwellings that date back to 1100 A.D.  Also, the list of scenic drives is endless -- Santuario de Chimayo; a famous pilgrimage church, old mining towns, Native American reservations, and another great town, just one hour north - Taos.

After all that activity, you will certainly have an appetite and will find the area restaurants superb! We enjoy Santacafé, La Boca (Spanish tapas) Bouche (French), Coyote Café & Rooftop Cantina, Geronimo, The Compound Restaurant, The Pink Adobe and for local flair, Maria's New Mexico Kitchen (for margaritas and ribs).  Café Pasqual’s is famous for brunch, and Gabriel’s, on the ride north to Bandelier, is wonderful for lunch.  The Concierge (505-988-4455) can assist with dining reservations and tours.

The AAA Four-Diamond Eldorado is ideally located in the heart of historic downtown, and is walkable to nearly everything. This luxury hotel is a terrific blend of Southwestern design and New Mexican culture. We have always enjoyed the Eldorado for many prior seminars. Please arrive at the meeting room between 8:00 a.m. and 8:30 a.m. on Friday, May 19, to sign in and receive course materials. The lecture will be held from 8:30 a.m. to 12:30 p.m. on Friday and resume on Saturday, May 20, from 8:30 a.m. to 12:30 p.m. with question and answer periods before and after the meeting. Outlines will be used as a guide to the course.

It would be useful to have a list of specific questions ready, but we will cover the most commonly asked ones in detail during the seminar as well. All course material will be provided while checking in on the first day. For complete candidness, tape recorders will not be allowed at the program.
